  • Document negotiation and drafting including listing agreements, letters of intent, option agreements, purchase and sale agreements, loan documents, leaseback leases, 1031 exchange documents, employment agreements and all other documents required in connection with a transaction closing.
  • Due diligence review including title, survey, environmental, zoning, covenant compliance, land use, corporate authority matters and other due diligence aspects of a purchase or sale transaction as well as the review of existing leases and parking issues.
  • Coordination of consultants including brokers, title companies, surveyors, local counsel, environmental consultants and engineers.
  • Structuring partnerships, joint ventures, tenancy in common and other joint ownership arrangements.

We have been involved in a full range of acquisition and disposition transactions from the purchase and sale of single parcels of property for individual investors and developers in California to handling large complex transactions involving multiple properties throughout the United States for REITs, large developers and Fortune 500 companies.

In addition, our Real Estate practice includes representation of owners and tenants in the development, redevelopment and expansion of retail, commercial and industrial properties.  The construction contracts we have prepared or negotiated has varied based upon the size of the project and the scope of the work, including ground-up construction both in free-standing properties as well as within an operating shopping center; demolition, expansion and remodeling of existing shopping centers, office buildings and industrial parks (including issues involving work being done in projects with operating businesses); single tenant build-to-suit transactions and other leasehold improvement projects.

We have extensive experience with the leasing of all types of real property, including retail, office, industrial, mixed use projects, undeveloped land/ground leases and cell tower sites. Having represented both landlords (ranging from institutional owners to local developers) and tenants (ranging from national tenants to start-up business and individuals) in connection with hundreds of leases, as well as other ancillary documents pertaining to the leasing of real property, like reciprocal easement agreements, development agreements, work letters and recognition agreements, we understand the complex issues involved in leasing real property and draw upon our unparalleled expertise to consummate deals efficiently.
